TERMS OF SERVICE & SALE CONDITIONS

Grains and Taps Brewery Liquidation (bidgrainstaps.com)

By registering, placing a bid, or purchasing items on bidgrainstaps.com, you agree to be bound by the following Terms of Service and Sale Conditions.

1. "AS-IS, WHERE-IS" SALE

  • No Warranties: All items, machinery, furniture, restaurant equipment, and fixtures are sold strictly "AS-IS, WHERE-IS" with all faults and defects. Grains and Taps makes no warranties, express or implied, regarding merchantability, fitness for a particular purpose, or operational condition.

  • In-Person Inspection: Photos and descriptions are for reference only. Bidders are strongly encouraged to inspect items in person during our designated preview window:

    • Final In-Person Inspection: Friday, August 28th from 6:00 PM – 9:00 PM at the Grains and Taps Taproom.

  • No Refunds or Returns: All sales are final upon the close of the lot. No refunds, credits, chargebacks, or bid cancellations will be granted.

2. BUYER'S PREMIUM & TAXES

  • 10% Buyer’s Premium: A 10% Buyer's Premium will be added to the final hammer price (winning bid) of each auction lot. For example, a winning bid of $1,000.00 will incur a $100.00 Buyer's Premium, resulting in a subtotal of $1,100.00.

  • Liquidation Sales Tax Exemption: In accordance with Missouri Revised Statute RSMo § 144.011.1(2), the sale of capital assets, machinery, and fixtures incident to the liquidation of our business is exempt from Missouri sales tax.

  • Taxable Retail Merchandise: Any non-liquidation retail merchandise, glassware, or packaged beer purchased outside of the equipment auction is subject to standard state and local sales tax (Lee's Summit / Jackson County / Missouri).

3. PAYMENT TERMS

  • Payment Deadline: Invoices will be issued immediately upon the close of the online auction on Sunday, August 30th. Payment must be completed in full prior to the removal of any items.

  • Payment Methods:

    • Invoices under $5,000.00 may be paid via major credit or debit card through our secure Shopify checkout.

    • Invoices totaling $5,000.00 or greater must be paid via ACH, Wire Transfer, or Cashier's Check. Credit card payments will not be accepted for high-value machinery transactions.

  • Default: Any account with an unpaid invoice after 48 hours from the auction close may forfeit their winning bid, and the items may be offered to the back-up bidder or relisted.

4. ITEM REMOVAL, PICKUP WINDOWS & RIGGING

  • Designated Pickup Windows: All winning auction lots must be retrieved from our Lee's Summit taproom strictly during the following scheduled pickup times:

    • Monday, August 31st: 9:00 AM – 6:00 PM

    • Tuesday, September 1st: 9:00 AM – 6:00 PM

    • Wednesday, September 2nd: 2:00 PM – 10:00 PM

    • Thursday, September 3rd: NO PICKUP

    • Friday, September 4th: 10:00 AM – 4:00 PM

    • Saturday, September 5th: 10:00 AM – 6:00 PM

    • Sunday, September 6th: NO PICKUP

    • Monday, September 7th (Labor Day): 10:00 AM – 2:00 PM (FINAL REMOVAL DEADLINE)

  • Buyer Responsibility: Winning bidders are 100% solely responsible for the dismantling, rigging, unbolting, loading, securing, and transportation of all purchased items.

  • No Labor or Equipment Provided: Grains and Taps will not provide forklifts, pallet jacks, tools, ladders, or physical labor to assist in removal. Buyers must bring their own appropriate tools, moving equipment, and labor.

  • Property Damage & Liability: Buyers assume all risk and liability for personal injury or property damage caused during the dismantling and removal of items. Any damage caused to the building or premises during removal must be repaired at the buyer's expense.

5. ABANDONMENT POLICY

  • Hard Deadline: All items must be completely removed from the property by 2:00 PM on Monday, September 7th.

  • Forfeiture: Any item remaining on the premises after 8:00 PM on September 9th will be deemed permanently abandoned property. The buyer forfeits all rights to the item and any payments made. Grains and Taps reserves the right to dispose of, resell, or scrap abandoned items without further compensation or notice to the buyer.

6. KEGS & AGE-RESTRICTED PURCHASES

  • 21+ Requirement: Presale kegs, draft beer, and alcohol products are available strictly for local pickup by individuals 21 years of age or older.

  • ID Verification: A valid government-issued photo ID matching the name on the order must be presented at the time of pickup.

  • Local Pickup Only: No alcohol products will be shipped or delivered under any circumstances.

  • Keg Shell Exchange/Deposit: Purchased kegs require either a direct exchange of an empty commercial keg shell at pickup or adherence to the deposit structure stated in the individual item listing.

7. LIMITATION OF LIABILITY

In no event shall Grains and Taps, its owners, employees, or representatives be liable for any indirect, special, incidental, or consequential damages arising out of the sale, removal, or use of any equipment purchased through bidgrainstaps.com. Total liability to any buyer shall not exceed the total purchase price paid for the lot in question.
